1. Acceptance of Terms

By accessing or using any website operated by The Drala Project, Inc. d/b/a The Redesign Group ("Redesign," "we," "us," or "our"), including www.redesign-group.com and any associated subdomains, portals, or mobile applications (collectively, the "Site"), you agree to be bound by these Website Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Site.

If you are accessing or using the Site on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.

Depending on how you use the Site, the following documents may also apply:

  • Privacy Policy. Our Privacy Policy, available at https://www.redesign-group.com/privacy-policy, describes how we collect, use, share, and protect personal information when you visit the Site, use our products and services, register for events, or apply for career opportunities.
  • Event Registration Terms and Conditions. If you register for or attend any event hosted by Redesign, the Event Registration Terms and Conditions, available at https://www.redesign-group.com/legal, govern your participation, including assumption of risk, photo and video consent, indemnification, and related matters.
  • Commercial Agreements. Our commercial agreements, including Product Sales Terms and Conditions, Services Terms and Conditions, Third-Party Services Terms and Conditions, Data Processing Agreement, and Redesign Technology Terms, are available at https://www.redesign-group.com/legal. Those agreements govern commercial transactions and are separate from these Terms. In the event of a conflict between these Terms and a commercial agreement, the commercial agreement controls with respect to the applicable transaction.

3. Use of the Site

The Site is intended for business and professional use. You may view, download, and print Content for your personal informational use or your organization's internal business use, provided you retain all copyright, trademark, and other proprietary notices. You may not modify, reproduce, distribute, republish, publicly display, post, transmit, sell, license, or otherwise commercially exploit any Content without Redesign's prior written consent.

4. Account Registration

Certain features of the Site, including the Unified Portal, Redesign Trust Portal, and other Redesign applications, may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Redesign promptly at security@redesign-group.com if you become aware of any unauthorized use of your account.

5. Intellectual Property

All content on the Site, including text, graphics, logos, images, photographs, videos, software, data compilations, page layout, underlying code, and the overall design and arrangement of the Site (collectively, "Content"), is the property of Redesign or its licensors and is protected by copyright, trademark, and other intellectual property laws.

The Redesign Group name, logo, and all related product and service names, design marks, and slogans are trademarks or service marks of Redesign or its affiliates. You may not use any Redesign trademark without our prior written consent. All other trademarks displayed on the Site are the property of their respective owners.

6. Prohibited Uses

You agree not to:

  • Use the Site in any way that violates any applicable law or regulation.
  • Use any automated system, including bots, spiders, scrapers, crawlers, or similar technologies, to access, monitor, copy, or collect content from the Site without Redesign's prior written consent.
  • Attempt to gain unauthorized access to any portion of the Site, any systems or networks connected to the Site, or any Redesign server, whether through hacking, password mining, or any other means.
  • Interfere with or disrupt the integrity or performance of the Site or any systems or networks connected to the Site.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software or technology used on or accessible through the Site.
  • Transmit any viruses, malware, or other harmful code through the Site.
  • Use the Site to transmit any unsolicited or unauthorized advertising, promotional materials, spam, or similar communications.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Conduct any unauthorized penetration testing, vulnerability scanning, or security testing of the Site or any associated systems without Redesign's prior written authorization.
  • Use the Site to collect or harvest personal information about other users.
  • Use any Content from the Site to benchmark Redesign's products or services against those of a competitor without Redesign's prior written consent.

7. User Submissions and Feedback

Any feedback, ideas, suggestions, enhancement requests, recommendations, or other information you provide to Redesign through the Site or otherwise ("Feedback") is provided on a non-confidential basis. You assign to Redesign all right, title, and interest in any Feedback. If such assignment is ineffective for any reason, you grant Redesign a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, distribute, sublicense, and otherwise exploit the Feedback without restriction or obligation to you.

Feedback does not include personal information (which is governed by our Privacy Policy) or confidential information exchanged under a separate non-disclosure agreement or commercial agreement between you and Redesign.

8. AI Tools and Interactive Features

The Site may include AI-powered tools, virtual assistants, chatbots, or other interactive features. Any output generated by these tools is provided for informational purposes only and does not constitute professional, legal, financial, regulatory, tax, medical, or other regulated advice. AI-generated outputs are probabilistic and may be incomplete, inaccurate, or unsuitable for a particular purpose. You are responsible for independently evaluating and verifying any information or output provided by AI tools on the Site before relying on it.

9. Third-Party Links and Services

The Site may contain links to websites, products, services, or platforms operated by third parties. Redesign does not control, endorse, or assume responsibility for any third-party content, privacy practices, or terms. Your use of any third-party website or service is at your own risk, and you should review the applicable third party's terms and privacy policy before use.

10. Disclaimer of Warranties

THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, AND SERVICES PROVIDED THROUGH THE SITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REDESIGN DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

REDESIGN DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY CONTENT IS ACCURATE, RELIABLE, COMPLETE, OR CURRENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL REDESIGN, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT REDESIGN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REDESIGN'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100.00).

THESE LIMITATIONS DO NOT APPLY TO LIABILITY ARISING FROM REDESIGN'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR FRAUD.

12. Indemnification

You agree to indemnify, defend, and hold harmless Redesign, its affiliates, officers, directors, employees, contractors, and agents from and against any third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your violation of any applicable law or regulation; or (c) your use of the Site in a manner not authorized by these Terms.

13. Export and Sanctions Compliance

You represent and warrant that you are not located in any country subject to a United States government embargo and that you are not listed on any United States government list of prohibited or restricted parties. You agree not to use, export, or re-export any content, software, or materials obtained through the Site in violation of any applicable export control laws or sanctions programs.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of such courts. You agree that any dispute will be resolved on an individual basis and waive any right to participate in a class action, collective action, or representative proceeding.

15. Termination

Redesign may suspend or terminate your access to the Site at any time, without prior notice, for any reason, including if you breach these Terms. Upon termination, your right to use the Site ceases immediately. Sections 5, 7, 9, 10, 11, 12, 13, 14, and this Section 15 survive any termination.

16. Changes to These Terms

Redesign may update these Terms at any time by posting a revised version on the Site with a new effective date. Your continued use of the Site after the updated Terms are posted constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Site.

17. General Provisions

Severability. If any provision of these Terms is held unenforceable, it will be modified to the minimum extent necessary to render it enforceable, or severed if modification is not possible. All remaining provisions will continue in full force and effect.

No Waiver. Redesign's failure to enforce any provision of these Terms will not constitute a waiver of that provision or any other provision.

Entire Agreement. These Terms, together with the Privacy Policy, the Event Registration Terms and Conditions (when applicable), and any applicable commercial agreement, constitute the entire agreement between you and Redesign regarding the use of the Site.

Assignment. You may not assign or transfer these Terms or any rights hereunder without Redesign's prior written consent. Redesign may assign these Terms without restriction.

English Language. These Terms are drafted in English. If a translation is provided, the English version controls in the event of any conflict.
